Welcome, and thank you for using miyo. These Terms of Service (“Terms”) are a legally binding agreement between you and Brevilabs LLC (“Brevilabs,” “we,” or “us”) regarding your use of the miyo desktop application, the miyo.md website, and the associated relay and MCP services (collectively, the “Service”). By downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Please read the following Terms carefully. By using the Service you agree to binding arbitration and waive class-action rights as described in Section 12.
miyo is a local-first desktop application that runs a Model Context Protocol (MCP) server on your device. It gives AI applications access to your personal context — notes, documents, and other local files — without uploading that content to any server. The miyo relay service (relay.miyo.md) provides a secure tunnel so AI applications like ChatGPT and Claude can connect to your local MCP server. Relay access requires a paid miyo relay subscription or a qualifying Believer license from Copilot for Obsidian.
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By agreeing to these Terms you represent that you meet this requirement and that your use of the Service complies with all applicable laws and regulations.
To access the relay and account features, you must create an account using a verified email address, GitHub, or Google sign-in. You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it. Notify us immediately at info@brevilabs.com if you believe your account has been compromised.
4.1 Pricing. Current pricing is shown on the miyo pricing page. We reserve the right to change pricing with reasonable advance notice. Continued use of the Service after a price change constitutes acceptance.
4.2 Payment processing. Payments are processed by Stripe, Inc. By purchasing a subscription you agree to Stripe’s terms and privacy policy. We do not store your payment card details.
4.3 Subscription billing. Subscriptions renew automatically at the end of each billing period. You must cancel before the renewal date to avoid the next charge. Cancel at any time from your account page or by contacting info@brevilabs.com.
4.4 Refunds. You may request a full refund within 14 days of your initial purchase by emailing info@brevilabs.com. After 14 days, fees are non-refundable except where required by law.
4.5 Delinquent accounts. We may suspend relay access for accounts with unpaid amounts.
5.1 Limited license. Subject to your compliance with these Terms, Brevilabs grants you a limited, non-exclusive, non-transferable, revocable license to install and use the miyo desktop application on devices you own or control, and to access the associated web and relay services.
5.2 Restrictions. You may not: (a) distribute or sublicense the Service; (b) reverse engineer or attempt to extract source code from proprietary components; (c) use the Service to transmit malware or harmful code; (d) interfere with or circumvent any access control or security mechanism; (e) use automated tools to scrape or exfiltrate data from miyo.md; or (f) use the Service in violation of any applicable law.
5.3 Feedback. If you submit suggestions or feedback, you grant Brevilabs a royalty-free, perpetual license to use that feedback to improve the Service. We have no obligation to attribute feedback or compensate you for it.
miyo processes your notes and files locally on your device. You retain full ownership of all your content. We claim no rights over your local files. Because your content never reaches our servers, we cannot access, back up, or restore it — you are solely responsible for maintaining copies of your data.
The relay forwards MCP requests from AI applications to your local miyo desktop app over an authenticated tunnel. You acknowledge that:
Brevilabs owns all right, title, and interest in the Service, including the desktop application, relay infrastructure, and miyo.md website. All trademarks, service marks, and trade names associated with miyo are owned by Brevilabs. Nothing in these Terms transfers ownership of any Service component to you.
We may send you transactional emails (authentication codes, subscription receipts, security alerts). We may also send occasional product updates. You can opt out of product update emails at any time by contacting info@brevilabs.com. Transactional emails cannot be opted out of while your account is active.
We may update these Terms from time to time. Material changes will be communicated by updating the date at the top of this page and, where appropriate, by email. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
11.1 Term. These Terms take effect when you first use the Service and remain in effect until terminated.
11.2 Termination. Violating these Terms terminates your authorization to use the Service automatically. We may also terminate or suspend your account at our discretion, with or without notice. You may terminate your account by contacting us at info@brevilabs.com.
11.3 Effect. On termination, your license to use the Service ends. Sections 5.3, 6, 8, 12, 13, 14, and 15 survive termination. Because your local files are not stored by us, they are unaffected by account termination.
Please read this section carefully. It affects your legal rights.
12.1 Agreement to arbitrate. Any dispute arising under or related to these Terms or the Service will be resolved by binding individual arbitration under the American Arbitration Association Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court. You and Brevilabs each waive the right to a jury trial and the right to participate in any class or representative action.
12.2 No class actions. Claims may only be brought on an individual basis. The arbitrator may not consolidate claims or preside over any class or representative proceeding.
12.3 Pre-arbitration. Before initiating arbitration, you agree to email us at info@brevilabs.com describing the dispute. We will attempt to resolve it within 60 days.
12.4 Arbitration costs. AAA filing fees are governed by the AAA Consumer Rules. We will cover your portion of arbitration fees if the claim amount is $10,000 or less and your claim is found to be non-frivolous.
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. BREVILABS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
TO THE FULLEST EXTENT PERMITTED BY LAW, BREVILABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
BREVILABS’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (a) THE AMOUNT YOU PAID BREVILABS IN THE 6 MONTHS PRECEDING THE CLAIM OR (b) USD 60.
You agree to defend, indemnify, and hold harmless Brevilabs and its officers, directors, employees, and agents from any claims, damages, or expenses (including attorneys’ fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any third-party rights.
16.1 Governing law. These Terms are governed by the laws of the State of California without regard to conflict of law principles. To the extent court proceedings are permitted under Section 12, you consent to the exclusive jurisdiction of the state and federal courts in Santa Clara County, California.
16.2 Privacy policy. Our Privacy Policy is incorporated into these Terms by reference.
16.3 Entire agreement. These Terms constitute the entire agreement between you and Brevilabs regarding the Service and supersede all prior agreements.
16.4 Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
16.5 No support obligation. We are not obligated to provide support but may offer it at our discretion via email or community channels.
16.6 Contact. Brevilabs Inc., reachable at info@brevilabs.com.
